Job Title Paralegal (Contracts Specialist) Department Legal Reporting To Head of Legal Location Houston Area of responsibility WH (USA, Canada, Latin America) Position Summary: PIPECARE GROUP is seeking a highly skilled and experienced Paralegal - Contracts Specialist to join our Legal team in Houston, Texas. The ideal candidate will have a strong background in contractual and commercial law, with specific experience in drafting and reviewing Master Service Agreements (MSAs), terms and conditions, and other commercial contracts. Fluency in English and Spanish is essential, and proficiency in Portuguese is desirable. Other duties: full corporate and commercial compliance, support with any litigations, preparation of legal documents, opinions and their timely filing, communication with third-party legal advisors, contractual review. General responsibilities: Contract Drafting and Negotiation : Draft, review, and negotiate a variety of commercial contracts, including MSAs, terms and conditions, service agreements, vendor contracts, and NDAs. Evaluate contract agreements to identify the need for any amendments to existing contracts. Legal Expertise and Research : Legal writing skills and proficiency in legalese for the legal team. Provide legal support and assist with contract management, including maintaining contract templates and ensuring compliance with legal standards. Conduct legal research and provide analysis on various contractual and commercial law issues and staying informed about relevant legal developments and industry standards. Provide professional, written and oral, legal advice to the executives and offices to reasonably complex legal and legal policy issues. Contract Management and Compliance : Responsible for identifying and escalating system issues related to contract templates, e-signatures, contract management, and Customer Relations Management (CRM) solutions. Liaise with internal departments and external parties to ensure contract terms are understood and met. Monitor adherence to contract terms and conditions throughout the contract lifecycle Dispute Resolution and Documentation : Assist with dispute resolution related to commercial activities of the PIPECARE Companies in WH (Western Hemisphere). Maintain organized and up-to-date files of all contracts and related documentation. Language Proficiency : Translating legal documents between English and Spanish as required. Team Collaboration : Support the legal team with administrative tasks as needed, including preparing reports and presentations. Key Responsibilities: Assist with routine regulatory filings for national and global affiliates where needed Gather and analyse research data, such as statutes, decisions, legal articles, codes, and documents Perform other general duties and functions as assigned or required by the department or business Assume responsibility for ensuring that PIPECARE entities in Western Hemisphere conduct its business in compliance with applicable laws and regulations. Maintain confidentiality regime and ensure IP protection of PIPECARE Respond to changes positively (technical advancements as well as organizational adaptations) Act in such a manner that PIPECARE’s reputation is highly respected Be results-oriented; alert others timely when a task may not produce the required result for PIPECARE’s final product Works on legal matters such as new agreements, reviewing existing agreements, establishing new companies, issue necessary documents to meet the requirements of multinational laws & maintain the international companies correct legal position. Contribution on establishment of legal guidelines for tenders and review all commercial contracts that company enters to ensure its interest are safe guarded. Formulate, provide, advise and / or review all contracts agreements between the company, third parties and new joint ventures to ensure that the company’s interest is protected and the best commercial position maintained. To ensure the company’s interests are fully protected and redress of grievance obtained. Maintains flexibility, reacts to change appropriately and respects deadlines. Qualification: Relevant law qualification, i.e. Bachelor of Law or holding Master’s degree in law or international law. Minimum of 3-5 + years of legal experience (preferably in the oil and gas sector). Understanding of Law of the USA and other countries of Western Hemisphere. Proven experience in drafting, reviewing, and negotiating MSAs, terms and conditions, and other commercial contracts. Strong understanding of contractual and commercial law principles. Flexibility to work outside traditional business hours to align with global office schedules Excellent written and verbal communication skills in both English and Spanish. High attention to detail and strong organizational skills. Ability to work independently and as part of a team in a fast-paced environment. Proficiency in Microsoft Office Suite and legal research tools. Fluency in Portuguese is desirable. Benefits: Opportunity for professional growth and development.
