More information: https://www.vinci-concessions.com/en/vinci-highways https://www.linkedin.com/company/vinci-highways/ @VINCIConcess JOB PROFILE : Contracts Manager JOB LOCATION: Carrollton, TX JOB RESPONSIBILITIES: The Contracts Manager is responsible for managing all aspects of the contract lifecycle, ensuring compliance with company policies and legal requirements, and mitigating risks associated with contractual agreements. Reporting directly to the General Counsel, the Contracts Manager will be the first point of contact for new commercial and procurement contracts, will conduct initial assessments of public RFPs to which the company is responding, and will manage the existing contract database and ensure compliance with existing contracts. For new commercial and procurement contracts, the Contracts Manager will Gather business requirements by conducting interviews and meetings as needed to understand the needs and objectives. Review contract drafts, propose changes, and facilitate discussions for mutual agreement between parties. Minimize risk factors in contracts by optimizing contract language in the company's best interest. Collaborate with internal stakeholders, including legal, finance, and operations teams, to ensure alignment of contract terms with business objectives. Facilitate legal discussions on contract issues, escalating and resolving issues among involved parties. Negotiate pricing or insurance requirements with clients, vendors, or partners to establish favorable terms. Define and document the approval chain, establishing the contract approval hierarchy and documenting approvals from internal stakeholders. Coordinate signature collection from all relevant parties involved in the contract. For public RFPs to which the company is responding, the Contracts Manager will Review the RFP and sample contract to identify potential risks and issues that should be escalated for consideration. Ensure that required forms, certifications and other documentation to be submitted with the Company’s response are being timely and correctly prepared. Assist with preparation of markups of, and exceptions to, RFP documents and assist with analysis of any agency responses. For existing commercial and procurement contracts, the Contracts Manager will: Manage the contract library, securely storing, organizing, and retrieving contracts in a centralized repository. Track auto-renewal and expiration dates, monitoring contracts to ensure timely action on renewals or terminations. Ensure contract compliance by reviewing contracts for legal and policy compliance and enforcing contractual obligations. Develop and maintain relationships with external vendors, clients, and partners to facilitate smooth contract negotiations and ongoing management. Conduct regular reviews of existing contracts to identify areas for improvement or renegotiation, such as cost savings opportunities or updated terms. For internal company management and policies, the Contracts Manager will: Provide guidance and training to internal teams on contract management best practices, ensuring consistent adherence to company policies and legal requirements. Stay abreast of industry trends, regulatory changes, and emerging best practices in contract management, incorporating relevant updates into contract processes and procedures. Assist in the development and implementation of contract management software or tools to enhance efficiency and accuracy in contract administration. Act as a point of contact for contract-related inquiries or disputes, working to resolve issues in a timely and satisfactory manner. Prepare reports and presentations on contract performance, compliance, and risk mitigation efforts for senior management and stakeholders. Participate in cross-functional projects or initiatives related to contract management, providing expertise and support as needed. Contribute to the continuous improvement of contract management processes and procedures, identifying opportunities for streamlining and optimization. QUALIFICATIONS: Bachelor’s degree in Business Administration, Legal Studies, or related field; JD preferred. Five to seven years of experience in contract management, contract administration, or related field. Certified Professional Contract Manager (CPCM), Certified Commercial Contract Manager (CCCM), or Certified Federal Contract Manager (CFCM) preferred. Significant experience with responding to public RFPs required. Strong understanding of contract law principles and contract drafting and negotiation techniques. Excellent communication and interpersonal skills, with the ability to effectively interact with internal and external stakeholders. Demonstrated ability to manage multiple projects and priorities in a fast-paced environment. Attention to detail and accuracy in contract review and analysis. Proficiency in contract management software and Microsoft Office Suite. Experience with newer AI contracting tools preferred. Ability to work independently and collaboratively as part of a legal team. Experience working in a corporate legal department or law firm is preferred.
