This role focuses on the executive compensation and benefits aspects of mergers and acquisitions. Ideal candidates should have significant experience in drafting and negotiating employment agreements and managing equity incentive plans.Duties:Draft and negotiate executive employment agreements.Design and manage equity incentive plans, including profits interest plans.Provide legal advice on compensation and benefits issues in MA transactions.Advise on compliance with regulatory and tax-related issues for executive compensation.Collaborate with legal teams to ensure seamless integration of compensation strategies in transactions.Requirements:Relevant experience in executive compensation and employee benefits law.Proven track record of handling complex compensation matters in the context of mergers and acquisitions.Ability to provide strategic legal counsel to clients on compensation and benefits-related matters.Education:Juris Doctor (JD) from an accredited law school.Admission to the Bar in Pennsylvania or eligibility for admission on waiver.Certifications:Active license to practice law in the jurisdiction of Pennsylvania.Skills:Strong drafting, negotiation, and analytical skills.Excellent communication and interpersonal skills to advise clients effectively.Expertise in regulatory issues surrounding executive compensation.Strong understanding of tax implications related to employee benefits and executive compensation plans.Ability to work collaboratively with a team and across departments.Job Location:Philadelphia, PA As one of the largest law firms in the U.S. with more than 40 offices, it was founded in 1967.
