The ideal candidate will have a strong background in handling complex MA transactions, outstanding academic credentials, and exceptional communication skills. This role requires a proactive, detail-oriented professional committed to delivering high-quality legal services.Duties and Responsibilities:Led and managed public MA transactions from inception through closing.Draft, review, and negotiate complex transaction documents, including merger agreements, asset purchase agreements, stock purchase agreements, and ancillary agreements.Conduct due diligence investigations and prepare due diligence reports.Advise clients on legal and business issues related to MA transactions, including regulatory and compliance matters.Coordinate and collaborate with other attorneys, clients, and third parties to facilitate smooth transaction processes.Provide strategic advice to clients on transaction structures, deal terms, and risk management.Assist in developing junior associates and support staff by providing guidance and mentorship.Stay abreast of relevant laws and regulations changes that may impact MA activities.Requirements:3-6 years of experience in public mergers and acquisitions.Should have general MA and transactional experience, focusing on MA transactions involving public companies (on the sell side and buy side) and related securities laws.Outstanding academic credentials from a reputable law school.Comparable law firm experience with a focus on public MA transactions.Excellent written and verbal communication skills with the ability to convey complex legal concepts clearly and effectively.Admission to the New York Bar or eligibility to obtain admission promptly.Education:Juris Doctor (J.D.) degree from an accredited law school.Certifications:Admission to the New York State Bar.Skills:Strong analytical and problem-solving skills with attention to detail.Exceptional negotiation and drafting skills.Ability to manage multiple transactions and priorities effectively in a fast-paced environment.Proficiency in legal research and applying legal principles to business transactions.Strong client relationship management skills with a commitment to providing superior client service.Ability to work both independently and collaboratively within a team.
