The ideal candidate will have a strong background in corporate law, particularly in advising fund managers on structuring, regulatory compliance, and market practices. Duties and Responsibilities:Provide legal counsel and support to emerging and established fund managers on all aspects of private investment fund formation.Advise clients on structuring investment funds, including drafting and negotiating partnership agreements, offering memoranda, and related documents.Navigate regulatory requirements, including compliance with the Investment Advisers Act of 1940 and other federal securities statutes.Conduct due diligence reviews and risk assessments for fund formation projects.Collaborate with clients and internal stakeholders to develop and implement legal strategies tailored to meet fund objectives and regulatory obligations.Stay abreast of industry trends, regulatory developments, and best practices related to private investment funds.Handle complex legal issues related to fund operations, investor relations, and fund governance. Requirements:Juris Doctor (JD) degree from an accredited law school.Active membership in good standing with the Illinois State Bar or eligibility for admission by waiver.5-7 years of comprehensive experience practicing law, with a focus on corporate law and private investment fund formation.Strong understanding of the Investment Advisers Act of 1940 and federal securities laws.Excellent academic credentials and demonstrated proficiency in legal research, writing, and analysis.Exceptional organizational skills, meticulous drafting abilities, and effective communication skills.Prior experience within the Securities and Exchange Commission (SEC) is advantageous.Ability to manage multiple priorities and work effectively in a team-oriented environment. Preferred Skills:Background in securities law and regulatory compliance.Familiarity with emerging trends in private investment fund structures and strategies.Experience advising clients on fund administration and operational matters.
