The ideal candidate will have a strong background in corporate law, particularly in advising fund managers on structuring, regulatory compliance, and market practices. Duties and Responsibilities:Provide strategic legal counsel to emerging and established fund managers on all aspects of private investment fund formation, including structuring, documentation, and compliance.Draft, review, and negotiate fund formation documents such as limited partnership agreements, subscription agreements, and private placement memoranda.Conduct due diligence and risk assessments related to fund formation projects, ensuring compliance with federal securities laws and regulations.Advise clients on governance issues, operational matters, and investor relations for private investment funds.Collaborate closely with clients, internal teams, and external stakeholders to develop tailored legal strategies and solutions. Requirements:Juris Doctor (JD) degree from an accredited law school.Active membership in good standing with the California State Bar.5-7 years of comprehensive experience practicing law, with a focus on corporate law and private investment fund formation.In-depth knowledge of the Investment Advisers Act of 1940 and other relevant federal securities statutes.Exceptional academic credentials and demonstrated proficiency in legal research, writing, and analytical skills.Strong organizational skills, meticulous attention to detail, and effective communication abilities.Previous experience within the Securities and Exchange Commission (SEC) or related regulatory bodies is advantageous. Preferred Skills:Familiarity with current trends and best practices in private investment fund structures and strategies.Ability to manage multiple priorities and work effectively in a collaborative team environment.Experience mentoring junior attorneys and developing legal talent within a firm setting.
