The ideal candidate will possess broad transactional experience with a focus on energy transition projects, including hydrogen, carbon capture, renewable fuels, lithium extraction, and traditional renewable energy. This role requires strong drafting skills, project management capabilities, and the ability to advise on complex transactional and project development matters in the energy sector.Duties and Responsibilities:Provide legal counsel and representation to clients on energy transition projects, emphasizing hydrogen, carbon capture, utilization and storage, renewable fuels (e.g., renewable natural gas, sustainable aviation fuel), lithium extraction, and other energy transition areas.Negotiate and draft a wide range of transactional documents, including EPC contracts, BOP contracts, equipment supply/procurement agreements, OM agreements, and similar agreements.Advise on mergers and acquisitions, land purchase agreements, offtake agreements (e.g., power purchase agreements), pore space leases, hydrogen purchase agreements, lithium extraction leases, joint venture agreements, partnership agreements, and LLC agreements.Conduct legal research, due diligence, and risk assessments pertinent to energy transition projects.Assist clients transitioning from traditional upstream and midstream oil and gas projects to the energy transition sector.Requirements:Juris Doctor (JD) degree from an ABA-approved law school.Admission to the Bar in Florida or eligibility for admission through reciprocity.3-6 years of relevant experience in transactional law, with a focus on energy transition projects.Demonstrated experience negotiating and drafting complex transactional documents.Familiarity with regulatory frameworks and industry standards relevant to energy transition projects.Education and Certifications:JD from an ABA-approved law school.Admission to the State Bar of Florida or eligibility for admission through reciprocity.Skills:Excellent drafting and project management skills, with meticulous attention to detail.Strong analytical and problem-solving abilities.Effective communication and interpersonal skills for client interactions and team collaboration.Proficiency in legal research tools and Microsoft Office Suite.Benefits: The firm offers a competitive benefits package including Paid Time Off, Paid Holidays, Medical, Dental, and Vision Insurance, 401(k) Retirement Plan, Disability and Life Insurance, Adoption Assistance, and Backup Care for Dependents.
