Practice Area: Corporate - Venture Capital/ Emerging Companies, Job Type: Attorney, Firm Type: Law Firm, Experience: 2 Years, Job Overview: A law firm is seeking an Emerging Companies and Growth Corporate Associate Attorney to join their San Francisco, CA team. The ideal candidate will have at least 2 years of experience in emerging growth companies, public companies, and capital markets.Duties:Provide legal counsel and strategic advice to emerging growth companies on corporate governance, financing, and compliance matters.Draft and negotiate various corporate agreements, including venture capital financing, mergers and acquisitions, and equity compensation plans.Conduct due diligence reviews and prepare disclosure schedules concerning corporate transactions.Assist in preparing and filing SEC reports and other regulatory filings.Research and analyze complex legal issues impacting emerging companies and provide recommendations to clients.Requirements:Juris Doctor (J.D.) degree from an accredited law school.Admission to the California State Bar or ability to waive in.Minimum of 2 years of relevant experience in corporate law, specifically with emerging growth companies, public companies, and capital markets.Strong understanding of securities laws, corporate governance principles, and transactional matters.Certifications (Preferred):Certification in Securities Regulation or related fields is a plus.Skills:Excellent legal research, writing, and analytical skills.Ability to manage multiple projects and work effectively under pressure.Strong communication and interpersonal skills, with the ability to collaborate effectively with clients and colleagues.Attention to detail and a commitment to delivering high-quality work.
