Position Overview: They are seeking a highly skilled and experienced Director of Contracts to join their dynamic team. The Director of Contracts will play a critical role on the team to negotiate complex SaaS agreements, partner agreements, and vendor agreements ensuring compliance with legal and regulatory requirements while also optimizing contract terms and conditions to maximize value and minimize risk to the company and in support of sales.This is a highly autonomous role and as such you will be empowered to make decisions on the contractual positions to be applied such as the scope of contractual warranties, indemnities, and liabilities in accordance with corporate guidance and policies, and in consultation with the SVP Legal. This person must have a “deal doer” mindset to help accelerate the closing process for the sales organization while protecting the company’s interests and managing risk through contracts.This role requires experienced negotiating skills in getting Cloud/SaaS and software licensing contracts completed with Fortune 100 & Fortune 500 customers and has a passion for negotiating win-win agreements.You will be responsible for managing and negotiating a wide range of contracts with external parties by closely collaborating with internal departments to ensure that contracts align with our business and legal compliance. Key Responsibilities: Contract Management: Review and negotiate complex SaaS agreements, Partner agreements, non-disclosure agreements, vendor agreements, and service agreements. Work with SVP Legal on various matters as needed as well as assisting with maintenance of localized templates. Ensure contracting engagements are transacted with the highest level of ethical standards. Oversee the full life cycle of contract activities. Follow negotiation and playbook policies and strategies. Utilize various contract repositories, contract lifecycle tools, and electronic signature tools. Administer and communicate non-standard contractual obligations to sales and technical teams, as needed. Contract Negotiation and Drafting: Lead contract negotiations with customers, vendors, and partners to achieve favorable terms and conditions that align with company objectives. Review a variety of contracts, including software licensing agreements, vendor agreements & non-disclosure agreements, both on customer paper and utilizing our internal templates. Risk Management and Compliance: Assess and mitigate contractual risks by identifying potential issues and implementing appropriate risk management strategies. Ensure compliance with legal and regulatory requirements, including data privacy laws, intellectual property rights, and export controls. Stakeholder Collaboration: Collaborate closely with internal stakeholders, including Sales, Legal, Finance, and Operations, to ensure alignment and coordination throughout the contract lifecycle. Serve as a trusted advisor to senior management on contractual matters, providing strategic guidance and recommendations. Vendor Management: Manage relationships with third-party vendors and suppliers, including contract negotiations, performance monitoring, and issue resolution. Evaluate vendor performance and conduct periodic reviews to ensure compliance with contractual obligations and service level agreements. Continuous Improvement: Continuously assess and optimize contract management processes and systems to drive operational excellence and enhance productivity. Stay informed about industry trends, best practices, and emerging technologies related to contract management. Qualifications: Bachelor’s degree in business administration, Legal Studies, or related field; JD or advanced degree recommended but not required. Minimum of 6-8 years of experience in contract negotiation/management, with a proven track record of success in negotiating and managing complex SaaS Agreements. Strong understanding of contract law, legal principles, and regulatory requirements relevant to the software industry. Excellent negotiation, communication, and interpersonal skills, with the ability to influence and collaborate effectively with internal and external stakeholders. Demonstrated leadership abilities, with experience working with a global team and driving cross-functional initiatives. Proficiency in contract management software and Microsoft Office Suite and Salesforce. Location: This position is a remote position but preferably in the Eastern time zone.Powered by JazzHR
