The Role The Attorney (Commercial & Corporate Transactions) is using specialized knowledge of national, state, and/or local laws to advise and represent Meyer Burger (Americas) in legal matters. Provides legal advice and counsel in support of business activities and transactions. Researches and interprets existing laws and regulations and anticipated changes to laws to guide informed decisions and reduce risk. Prepares, reviews, and negotiates various agreements, contracts, and other legal documents. Serves as a legal subject matter expert for all commercial and corporate transactions. Represents the organization in litigation, negotiations, and other matters where legal counsel is required. Your contribution to our vision (responsibilities): Prepare, review, and negotiate legal agreements, contracts, and documents, including change orders, warranty terms and conditions, purchase contracts, services agreements, non-disclosure agreements, contract amendments, assignment agreements, letters of intent, lien waivers, estoppels, parent guarantees, letters of credit, bylaws, officer's certificates, and other corporate transaction documents. Support department and business teams in review and negotiating module sale agreements with new and existing customers. Manages insurance coverage, renewals, and claims under global insurance umbrella. Further development and creation of standard contracts, templates, instructions and guidelines. Processing, conception and implementation of trademark and patent law issues as well as compliance, data protection and contractual issues (in cooperation with internal and external interfaces of the entire Meyer Burger Group). Review and respond to legal claims (including warranty claims) from contract counterparties and advise business leaders on risks related to any claims or potential claims. Serve as the legal subject matter expert, supporting team members with all legal requests, including the preparation of training documents and implementation of employee training courses. Support project teams by reviewing legal aspects of commercial arrangements, providing contract interpretation guidance, and attending project meetings. Responsible for contract review and support negotiations. Form respectful, strong working relationships with existing and potential customers and their legal advisors. Maintain up-to-date knowledge of all terms and conditions, transaction status and open issues. Interact with members of various other functional areas who will be impacted by the transaction, including accounting, treasury, tax, warranty, and subject matter specialists. Provide timely and clear legal advice to business, operational and functional counterparts, being supportive, solution-driven and team-focused and providing assistance to all stakeholders. Developing and maintaining knowledge database for contract management and post-contract execution. Performs other related duties as assigned. You bring: Bachelor's degree and Juris Doctor (JD) degree from an accredited law school. Certification by relevant legal body or authority. Two to four years of experience in corporate or business law. Excellent command of details and an ability to work efficiently and meet deadlines. Strong organizational and project management skills. Excellent interpersonal communication skills and relationship building skills to effectively work with a variety of people and personalities; able to communicate clearly and effectively in person and in writing internally and externally. Experience in M&A and litigation. Entrepreneurial thinking and acting. Team player, flexible, pragmatic and assertive personality. Advanced MS Word, Excel & Outlook. Ability to travel 10% plus A Plus: Experience in renewable energy and/or solar industry. Experience in labor law, real estate and insurance. Knowledge of international commercial law and data protections law. German and/or Spanish language skills. Position is subject to pre-employment background check and drug screen.
